Bredin Prat advises Ipsen on the acquisition of Memo Therapeutics AG

Bredin Prat is advising Ipsen, a global biopharmaceutical group, on the acquisition of all of the shares of Memo Therapeutics AG, a biotechnology company specializing in next-generation therapeutic antibodies.

Under the terms of the agreements, the shareholders of Memo Therapeutics AG will receive a payment of 200 million euros, on a cash- and debt-free basis, upon closing of the transaction. They will also be eligible to receive deferred payments contingent upon the achievement of specific development, regulatory approval, and commercial performance milestones, for a potential total consideration exceeding 700 million euros.

This transaction will enable Ipsen to strengthen its research and development portfolio in the field of transplantation and diseases with high unmet medical needs.

The transaction is expected to close during the third quarter of 2026, subject to the satisfaction of customary closing conditions.
