Bredin Prat advises the consortium composed of TCV, an American investment company; EQT, a Swedish equity investment group; and Denis Ladegaillerie, founder and CEO of Believe, a French digital music group, in connection with a tender offer for all Believe’s outstanding shares at €15 per share upon having acquired an additional stake in Believe from historical shareholders TCV Luxco BD S.à r.l., Ventech, and XAnge.

The consortium will seek to implement a squeeze-out with a view to take the company private if the legal requirements are met at the end of the offer.

The transaction will bring French digital music group’s value to approximately €1.52 billion.

The tender offer will be filed with the French financial markets authority (AMF) during the second quarter of 2024.
