Bredin Prat advises Ramsay Santé in connection with Ramsay Health Care’s proposal to distribute its majority shareholding in Ramsay Santé to its shareholders

Bredin Prat is advising Ramsay Santé in connection with the proposal of Ramsay Health Care Limited (RHC), its Australian reference shareholder listed on the Sydney Stock Exchange (ASX), to distribute its 52.79% shareholding in Ramsay Santé to its own shareholders through a scheme of arrangement under Australian law.

Ramsay Santé, listed on Euronext Paris, is the European leader in private hospital care and primary care, with 40,000 employees and 10,000 practitioners welcoming 13 million patients per year in 492 facilities across five countries: France, Sweden, Norway, Denmark and Italy.

This proposal, which follows RHC’s review of its strategic options associated with its majority shareholding in Ramsay Santé announced last year, would mark a new step forward for Ramsay Santé, with a new and broader shareholding, in the implementation of its strategic roadmap based on investment in innovation, operational excellence and maintaining rigorous financial management.

RHC also announced that it had decided to terminate the shareholders’ agreement relating to Ramsay Santé entered into with Crédit Agricole Assurances, also a reference shareholder of Ramsay Santé with a 39.82% shareholding through its subsidiary Predica, with effect on 1 October 2026. Crédit Agricole Assurances reiterated its commitment as a long-term shareholder of Ramsay Santé.
