Bredin Prat is advising the offeror Rothschild & Co Concordia, the holding company of the Rothschild family, and Rothschild & Co, in connection with the simplified public tender offer for the shares of Rothschild & Co.

Rothschild & Co Concordia, having formed a concert with Rothschild & Co Gestion, certain historical shareholders of Rothschild & Co (the Maurel family, Edouard de Rothschild and François Henrot) and new members Groupe Industriel Marcel Dassault, Giuliani Investimenti S.A., Mousseshield L.P., Peugeot Invest Assets, Mr Hubertus von Baumbach, DKTRANS S.à r.l., Norbert Dentressangle Investissements and members of the English Rothschild family (including Hannah Rothschild) as well as Rothschild & Co Partners (a company gathering together the “partners” and certain persons with key functions in the Rothschild & Co group), filed a simplified public tender offer for the shares of Rothschild & Co with a view to delisting the company.

Following settlement-delivery which is to take place on 18 September 2023, Rothschild & Co Concordia and the concert members will hold a total of 73,909,273 Rothschild & Co shares (actual and assimilated), representing 95.65% of the company’s share capital and 95.79% of the voting rights. Consequently, Rothschild & Co Concordia will soon submit a request to the French Financial Markets Authority (Autorité des Marchés Financiers) for implementation of a squeeze-out procedure.
