Bredin Prat advises the Cohen-Skalli family on the reorganization of Pastacorp’s share capital

Bredin Prat is advising the Cohen-Skalli family on the reorganization of the shareholding structure of Pastacorp, a French pasta manufacturer. The reorganization involves the reinvestment of Antony and Bernard Cohen-Skalli, who are becoming the group’s majority shareholders, as well as the exit of several family shareholders and the entry of Geneo Capital Entrepreneur, SOCADIF and C2AD into the capital.

The transaction allows the two executives to increase their stake to approximately 70%, the remainder being divided between Geneo Capital Entrepreneur (through its Geneo Mezzanine fund), and SOCADIF and C2AD (two entities of the Crédit Agricole group).

This transaction will contribute to Pastacorp’s previously defined strategic objectives, which include optimizing industrial performance, reducing food waste, adopting responsible sourcing, decarbonizing the sector, and strengthening its involvement in local employment initiatives.
