Bredin Prat advises Alliativ’s main shareholders in connection with their exclusive negotiations with a view to selling control of Visiativ, a group specializing in digital transformation and innovation for small, medium-, and intermediate-size companies, to Groupe SNEF, a French group specialised in design engineering and project management, integration and maintenance of electrical and mechanical systems, development of industrial and automated systems, as well as implementation of IT architecture, industry 4.0 and security solutions.

Groupe SNEF would acquire approximately 75.72% of Alliativ (Visativ’s controlling shareholder), and in the event of completion of the proposed transaction, Alliativ would file a mandatory tender offer for the remaining outstanding Visiativ shares. As a result of these transactions, Groupe SNEF would acquire control of Alliativ and, indirectly of Visiativ, through Alliativ.

The acquisition of 75.72% of Alliativ is subject to obtaining the usual regulatory authorisations regarding merger control, as well as the formal approval of certain Visiativ’s commercial partners.
