Bredin Prat conseille Cemex dans le cadre de son entrée en négociations exclusives avec Vicat en vue de la cession de ses activités de béton prêt à l’emploi et de granulats dans le Sud-Est de la France

8 October 2026 — Press releases

Bredin Prat has advised Cemex as it enters into exclusive negotiations with the Vicat Group. The negotiations relate to the contemplated sale of the Cemex Group’s ready-mix concrete and aggregates operations located in south-east France, including certain interests in joint ventures.

The proposed transaction would involve the acquisition by Vicat of the subsidiaries Cemex Granulats Rhône Méditerranée, Cemex Bétons Rhône Alpes and Cemex Bétons Sud Est, and certain interests in joint ventures across the Rhône Valley and the Provence-Alpes-Côte d’Azur (PACA) region.

The contemplated transaction is in line with Cemex’s portfolio optimisation initiative. This initiative focuses on improving asset efficiency, the quality of its results and the generation of free cash flow, by actively managing its global operations. Cemex will retain a strong presence in north and south-west France through its ready-mix concrete, aggregates and urbanisation solutions.

The transaction would be subject to the customary conditions precedent. It would notably be subject to employee information-consultation procedures and subject to prior approval of the relevant competition authority under applicable merger control regulations. Completion of the transaction could take place by 31 December 2026.

The Bredin Prat team comprised:

  • Corporate: José María Pérez (partner), Adrien Bée and Alyssa Simonou;
  • Tax: Pierre-Henri Durand (partner), Kevin Guillou (counsel) and Eva Canzerini;
  • Competition: Olivier Billard (partner) and Fanny Thibault.
