Bredin Prat advises Viatris in connection with Cooper Consumer Health’s offer for its OTC (over-the-counter) business

Bredin Prat is advising Viatris, the US pharmaceuticals group, in connection with the offer made by Cooper Consumer Health, a European manufacturer and distributor of OTC products, for Viatris’ OTC drugs business.

Following receipt of the offer, the procedure for informing and consulting the employee representative bodies is underway and the transaction will be subject to fulfilment of the standard conditions precedent, including in particular clearance from the relevant regulatory authorities.

The transaction perimeter also comprises two manufacturing facilities in Mérignac (France) and Confienza (Italy), as well as an R&D centre in Italy.
